Di Matteo, who guided the Blues to Champions League glory in 2012, has been out of work for two years.
The Italian was previously linked with a move to the Bundesliga club, and has now taken up the chance to manage them after they relieved Jens Keller of his duties.
Keller was sacked after just under two years in charge of Schalke, who sit 11th in the Bundesliga table.
The 2-1 defeat against Hoffenheim proved to be the final nail in Keller's coffin.

Prior to Chelsea, Di Matteo enjoyed a successful spell in charge of the Baggies, helping them win promotion back to the Premier League from the Championship in 2010.
But he was sacked in 2011 following a poor sequence of results, with now England boss Roy Hodgson, then taking over the reins.
