The Serie A giants are now free to negotiate a fee with Shakhtar, who are keen to offload the Brazilian forward to avoid losing him on a free next year.
According to reports in Italy, the 28-year-old has just a year remaining on his current deal and is refusing to extend his stay.
Adriano was also a target for Premier League pair Arsenal and Liverpool, who are long-term admirers of the former Internacional man.
Shakhtar signed Adriano in 2007 for just £2.1million, and are believed to be open to offers in the region of £5.5m in the off season.
