The 54-year-old said she was sitting at a nearby table when the disgraced presenter met the executive at London's May Fair Hotel over a week ago.
Carol claimed after his meeting was over, Jeremy approached her and revealed: "They have just offered me my job back and I said no."
She told The Sun: "I saw Jeremy and the BBC executive. I have known both of them a very long time.
"It was obvious there was a conversation going on. I sat on the table just behind them. I could not hear what they were saying.

"Then the TV exec left and Jeremy paid the bill. Jeremy came over immediately and we had a chat and he told me what had happened.
"I am assuming he was telling the truth. We chatted for a few minutes."
Carol is friends with Jeremy and has appeared on Top Gear on numerous occasions in the past.
The former Countdown beauty said the meeting took place on Monday June 8.

Although Carol's revelation backs Jeremy's version of events, both the BBC and new presenter Chris Evans have both countered his claims.
The 49-year-old said on his Radio 2 Breakfast show: "Well, as to whether Jeremy was offered his job back or not, either outside or inside his own head he still said no to the voices. Therefore, I shall continue my resurrection of the world’s favourite TV car show."
Jeremy said he turned down the chance to return to the car programme after an unnamed executive at the corporation reportedly compared him to the late paedophile Jimmy Savile.
