The Toffees have beaten off competition from West Ham and Newcastle to agree a £3.7million fee for 22-year-old Byram.
The right-back, who can also play in midfield, is out of contract at Leeds in the summer.
Meanwhile, Naismith is all set to join the Canaries after Everton accepted their £8.5m offer over the weekend.
But Leeds have chosen to sell now to make more money from the deal.
According to Sky Sports, Byram is currently negotiating his contract with Goodison Park officials.
He will then undergo a medical, having sat out of Leeds' 2-0 loss to Sheffield Wednesday on Saturday.
His transfer fee could rise to £5m if bonuses and add-ons are met once he joins the Premier League club.
